Services Thewebix inc.
(Applicable jurisdiction: Quebec, Canada)
These terms and conditions apply exclusively to the advertising management services (Meta Ads and Google Ads) offered by Services Thewebix inc. They complete the Terms and Conditions of Use. terms and conditions of the company. In the event of contradiction, the present provisions specific to the digital advertising service shall prevail.
1. Payment structure
Management fees are billed monthly and payable in full at the beginning of each month.
The minimum commitment period is specified in the service offer or contract signed.
At the end of this initial period, the mandate is automatically renewed on a monthly basis, unless the customer gives written notice of non-renewal at least one month before the expiry date. 7 days before the next deadline.
Any increase in management fees must be communicated to the customer at least 30 days before the end of the initial commitment and accepted in writing. In the event of refusal, the agreement will not be automatically renewed.
2. Advertising budget
The advertising budget is paid directly by the customer via the platforms (Meta or Google).
Services Thewebix inc. neither manages nor controls these amounts, which are excluded from its invoices and are non-refundable.
The management fees invoiced by Services Thewebix inc. are separate from the advertising budget.
3. Deliverables and services included
The service includes the initial audit of advertising accounts, invoiced in a single payment before the start of management.
A maximum of 6 new visuals per month is included in the management package.
Services Thewebix inc. takes care of setting up and optimizing advertising campaigns.
The customer may request a performance report or telephone follow-up at any time by e-mail or telephone, with no predetermined monthly frequency.
4. Intellectual property and access to accounts
All copyrights and intellectual property rights to the advertisements created (visuals, texts, configurations) remain the property of Services Thewebix inc. unless otherwise agreed in writing.
The customer retains access to the advertising accounts created by Services Thewebix inc. but not ownership in the sense of the platforms (Google/Meta).
For existing accounts, ownership remains with the user who created them.
5. Cancellation and termination
The customer may cancel the service with a written notice of 7 days before the next payment.
In the event of premature termination, compensation of up to 25 % of remaining contract amount can be invoiced.
Payments already made are non-refundable.
6. Customer's obligations
During the onboarding meeting, the customer must provide the necessary access to the advertising platforms (Google Ads, Meta Business Manager, Google Analytics, website, etc.).
If he doesn't have the accesses available at this meeting, he will have a maximum of 30 days to supply them himself.
Any additional meetings or assistance required beyond the initial meeting will be billed at an hourly rate of 100 $/h.
7. Limitation of liability
Services Thewebix inc. does not guarantee any specific results in terms of leads, sales or return on investment (ROI).
The liability of Services Thewebix inc. is limited to the management fees paid by the customer.
8. Force majeure
Neither party shall be held liable for any delay or failure to perform due to force majeure (bad weather, strike, major breakdown, pandemic, etc.).
9. Reporting and communication
There is no obligation for standard monthly reports or regular meetings, unless expressly indicated in the bid or offer for services.
10. Contract duration
The mandate includes an initial commitment (3, 6 or 12 months depending on the offer signed).
At the end of this period, the mandate automatically renews on a monthly basis with no minimum commitment, unless Thewebix Services Inc. chooses to require a new commitment or to terminate the service.
