Services Thewebix inc.
(Applicable jurisdiction: Quebec, Canada)
These terms and conditions apply exclusively to the website creation and redesign services offered by Services Thewebix inc. They complement the terms and conditions of the company. In the event of contradiction, the present provisions specific to the website creation/redesign service shall prevail.
1. Payment structure
Payment is made in two instalments:
- 50 % at contract signature, as a non-refundable deposit;
- 50 % before the website goes online.
In the event of delays caused by the customer, a handling fee of 15 minutes per relaunch, up to a maximum of 2 hours per month of delay.
2. Deliverables included
The texts and visuals delivered depend on what is specified in the service offer.
A revision round is included, calculated at the rate of 1 h for every 1,000 $ of the project (e.g.: a 10,000 $ site includes 10 h of overhaul).
Additional overhauls are invoiced at 100 $/h.
Hosting and domain name included, invoiced annually.
No other service not included in the offer is included by default.
3. Deadlines and responsibilities
Production times are flexible, depending on the project and the time of year.
Services Thewebix inc. is not responsible for any delays caused by the customer, including lack of cooperation, late approvals or incomplete content delivery.
If the customer does not cooperate and the project remains inactive for more than 180 days, Services Thewebix inc. may close the project at its discretion and invoice the work performed on a pro rata basis.
4. Warranties and maintenance
No warranty is given as to the performance, security or positioning of the site, except in the case of direct fault on the part of Services Thewebix inc.
No coverage is provided for cyber-attacks, nor for adjustments made directly by the customer or when the customer requires full administrator access, nor for sites hosted elsewhere than on the hosting provided by Services Thewebix inc.
Annual hosting includes 3 h of maintenance and minor adjustments, These hours are non-transferable from one year to the next. These hours are non-transferable from one year to the next and require a minimum of 30 minutes per request. Any excess will be billed to 100 $/h.
5. Cancellation and termination
The 50 % deposit paid on signing is non-refundable.
All work remains the property of Services Thewebix inc. until full payment has been received.
6. Intellectual property
Once full payment has been made, the website (design, texts, custom code) becomes the property of the customer, except for forms, plugins or licenses paid for by the agency, which remain its property.
Services Thewebix inc. reserves the right to place, or not, a discreet mention at the bottom of the site indicating its realization.
Services Thewebix inc. also reserves the right to use the site as an example in its portfolio and communications.
7. Limitation of liability
No guarantee is given on the commercial results of the site (traffic, sales, referencing).
The liability of Services Thewebix inc. is limited to the amount paid by the customer for the project.
8. Force majeure
Neither party shall be held liable for any delay or failure to perform due to force majeure (major breakdown, strike, pandemic, etc.).
9. Hosting and renewal
Hosting, domain name, plugins and e-mail addresses are invoiced annually and automatically renewed.
The customer may cancel the renewal by giving written notice of at least 7 days before the renewal date.
Accommodation fees may be adjusted from year to year.
If payment for hosting, domain, plugins or e-mail service is overdue by more than 30 days, the site will be removed and all services cancelled.
A file Website ZIP will be retained and returned to the customer once the fee has been paid, but the hosting service will not be renewed.
10. Reference to general terms and conditions
